Luxembourg is a country in Western Europe which shares borders with Belgium, Germany and France to the south. Luxembourg City is the capital and is one of the four official capitals of the European Union. The country has an advanced economy and one of the world’s highest GDP per capita, hence making it an attractive option for starting a business.
Luxembourg Company Registration Procedures
The procedures take 2 weeks and involve a number of pre and post-registration steps.
1. Open a bank account and deposit money
Applicants need to open a bank account in the name of the company for its formation and for depositing the initial capital. Further, the funds equivalent to the amount of the share capital are “blocked” in the escrow account and needs authentication from the bank. Therefore, the bank will issue an escrow certificate (Certificat de blocage).
After the company is formed and a certified copy of the notarial deed of incorporation and a release certificate (certificat de déblocage) is shown to the bank in the later stages, the funds will be automatically unblocked.
2. Verify the availability of the company name
Applicants can do this by checking their proposed names with the Luxembourg Business Register Shareholders online. When submitting a request to the Luxembourg Business Register to confirm the availability of a company’s name, the applicant company will need to pay a fee (usually not more than 10 euros).
3. Acquire services of a notary
It will require the help of a notary or lawyer to draw up documents. These include the articles of association of the company and the deed of incorporation later on.
On behalf of the company, the Luxembourg notary is legally obliged to pay all costs relating to the incorporation and registration of a Luxembourg company. A detailed account/invoice of the costs will be produced by the notary once Luxembourg company registration and incorporation is complete.
4. Register the company
Register at the Luxembourg Business Register. After the notary pays for all applicable fees, they will then proceed with company registration in Luxembourg after submitting an application containing necessary documents.
Usually, after 24 hours from registration, an administrative or official registry number will be issued by the Register. This number is for other identification numbers such as taxes, indirect taxes, and social security.
Completion of Luxembourg company registration and incorporation will take within 3 business days and then the applicant will receive a confirmation receipt for the successful filing.
