Cape Verde Company Registration Procedures

Cape Verde company registration procedures take over a week and involve a number of pre and post-registration steps.

Verify the Availability of the Company Name

Applicants can do this at the Commercial Registry Department (Casa do Cidadão).

Also, applicants must provide a proposed company name or choose from a list of pre-approved names.

1. Deposit Capital in a Bank

Applicants will need to open a new bank account in any commercial bank of their choosing. Moreover, there needs to be an initial capital in a bank as proof of deposit for the company registration in Cape Verde in accordance to their Commercial Code.

2. Register the Company and Obtain the Publication and Legalization of Books

Cape Verde company registration happens at the Commercial Registry Department. The procedure goes through an internal online registration system. It will cost a total of CVE 10,000 (registration fee) + CVE 1,000 (chamber of commerce fee) to complete the process. A tax identification number will then be issued and can be obtained automatically.

3. Request for an Inspection and Obtain a Municipal License

There are two types of licenses to start your company operations. The first is the municipal license while the second is the license by activity. Further, the municipal license is legally mandatory for all companies operating in the capital city of Praia.

Companies must request an inspection within the first 15 days of the business operations. The municipal license will then be issued after all the required documents are submitted at the one-stop-shop (balcão único).

4. Notify the Labor Inspectorate Before Starting Business Operations

Prior to the start of business operations, companies must submit a notification of commencement of operations to the Labor Inspectorate (Inspecção-Geral do Trabalho). The notification must also include the company’s name, type of business activity, office address, a list of names and address of each manager and director, and the number of employees. This is in accordance with Art. 16 of the Decree-Law 13/2012.
